Terms of Service

Effective Date: December 16, 2025

PLEASE READ THESE TERMS CAREFULLY. By registering for, accessing, or using the services provided by ManyDial Technologies Ltd (“ManyDial,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”).

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Definitions

  • “Service” means the programmable voice API, cloud call center, auto dialer, and related software provided by ManyDial.
  • “Customer” or “You” means the entity or individual interacting with the Service.
  • “End User” means the individual who receives a call or message from you via the Service.
  • “Customer Data” means the phone numbers, audio recordings, text transcripts, and other data you transfer to ManyDial for processing.

2. Your Account & Responsibilities

2.1 Registration

You must provide accurate and complete information during verification (e.g., Trade License, NID). You are responsible for maintaining the confidentiality of your password and API Secret Keys.

2.2 Authorized Use

You agree not to use the Service to:

  • Violate any applicable law, including local telecommunications regulations.
  • Transmit viruses, malware, or harmful code.
  • Interfere with the integrity or performance of the Service.

2.3 Acceptable Use Policy (Anti-Spam)

You strictly agree NOT to use ManyDial for unsolicited robocalls, spam, or fraud.

  • Consent: You warrant that you have obtained all necessary consents from End Users before contacting them.
  • Identification: You must not manipulate Caller IDs to disguise your identity (Call Spoofing) with malicious intent.

3. Services & Fees

3.1 Prepaid Model

ManyDial operates on a prepaid basis. You must purchase Voice Credits or pay a monthly SaaS subscription (e.g., Launch, Growth, Scale plans).

  • Non-Refundable: Unless required by law, payments for Voice Credits are non-refundable.
  • Rate Changes: Voice rates (per minute) may fluctuate based on local carrier costs. We will endeavor to provide notice of significant rate changes.

3.2 Connectivity

ManyDial acts as a software layer over local telecommunications networks. We do not control the local carriers or DID providers. While we strive for high uptime, we cannot guarantee 100% success rates for call delivery due to external carrier dependencies.

4. Data Protection & EU Compliance (GDPR)

If you are located in the European Union (EU), European Economic Area (EEA), or if you process the personal data of data subjects within the EU, the following provisions apply:

4.1 Roles of Parties

  • You are the Data Controller: You determine the purposes and means of processing personal data (e.g., deciding which numbers to call and what to say).
  • We are the Data Processor: We process data solely on your behalf to deliver the Service.

4.2 Data Processing

By using the Service, you instruct ManyDial to process Customer Data to transmit your voice and message communications. We will not use Customer Data for our own marketing purposes without your consent.

4.3 Your Compliance Obligations

You acknowledge that you are responsible for complying with all applicable laws, including the GDPR and the e-Privacy Directive, regarding:

  • Legal Basis: Ensuring you have a lawful basis (e.g., Consent or Contractual Necessity) to contact the End User.
  • Call Recording: You must comply with laws regarding the recording of telephone conversations. If you use our “Record” feature, you must ensure appropriate notice and consent are obtained from the End User.

4.4 International Transfer

You acknowledge that ManyDial is headquartered in Bangladesh. By using the Service, you consent to the transfer and processing of your data in Bangladesh and other jurisdictions where our sub-processors operate, provided appropriate safeguards are in place.

5. Proprietary Rights

ManyDial retains all rights, title, and interest in and to the Service, including our code, documentation, APIs, and visual interfaces. You are granted a limited, revocable, non-exclusive license to use the Service solely for your internal business purposes.

6. Termination

6.1 Termination by You

You may stop using the Service at any time.

6.2 Termination by Us

We may suspend or terminate your access immediately, without notice, if:

  • You violate these Terms (especially the Anti-Spam policy).
  • We are required to do so by a regulatory body (e.g., BTRC or local telecom authority).
  • Your account remains inactive for a prolonged period (as defined in our retention policy).

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MANYDIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

We are not liable for the failure of third-party telecommunications providers, ISP failures, or force majeure events.

8. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Bangladesh.

  • Dispute Resolution: Any dispute arising out of these Terms shall first be attempted to be resolved amicably. If unresolved, it shall be submitted to arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act 2001.
  • EU Users: If you are a consumer in the EU, you may have additional rights under your local laws that cannot be waived. These Terms do not limit those mandatory rights.
